Terms of Service

Please read these Terms of Service carefully before using lawmem.ai. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

01 Definitions

As used in these Terms:

  • "Service" means the lawmem.ai API, portal, MCP server, and all related software and infrastructure operated by Blue Swan Ventures, LLC.
  • "Company," "we," "us," or "our" means Blue Swan Ventures, LLC, a Florida limited liability company.
  • "Customer," "you," or "your" means any individual or entity that registers for or uses the Service.
  • "API Key" means the unique authentication credential issued to you upon registration.
  • "Memory Call" means a single invocation of the /store or /recall API endpoints.
  • "x402 Payment" means a per-call micropayment made in USDC on the Base blockchain network using the x402 protocol.
  • "Agent" means any autonomous AI software system acting on behalf of a Customer that accesses the Service programmatically.

02 Acceptance of Terms

By creating an account, obtaining an API Key, or making any Memory Call, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

03 Description of Service

lawmem.ai provides a Memory-as-a-Service API that enables AI agents and software applications to store, retrieve, and manage persistent semantic memory. The Service uses vector embeddings to enable semantic search and recall of stored information within isolated, per-tenant namespaces.

The Service is designed for use by legal technology applications, AI agents operating within legal workflows, and software developers building legal AI tools. Use outside the legal technology context is permitted but the Service is optimized and marketed for legal use cases.

04 Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. The Service is intended for business and professional use. By using the Service, you represent that you meet these requirements.

Use of the Service to store, process, or transmit information in violation of applicable law — including but not limited to unauthorized practice of law, violation of attorney-client privilege, or breach of professional responsibility rules — is prohibited.

05 Account Registration & API Keys

Access to the Service requires registration with a valid email address and the issuance of an API Key. You are responsible for:

  • Maintaining the confidentiality of your API Key
  • All activity that occurs under your API Key, including activity by AI agents acting on your behalf
  • Notifying us immediately at david@lawmem.ai if you suspect unauthorized use of your API Key

We reserve the right to suspend or revoke API Keys that we reasonably believe have been compromised or used in violation of these Terms.

06 Fees, Billing & Payment

The Service is offered under the following billing models:

  • Free Tier: 1,000 lifetime Memory Calls at no charge. No credit card required.
  • Pay-as-you-go: $0.005 USDC per Memory Call, billed via x402 micropayment at the time of each call.
  • Legal Starter: $199/month for 50,000 Memory Calls. Overages billed at $0.005/call via x402.
  • Legal Pro: $499/month for 150,000 Memory Calls. Overages billed at $0.005/call via x402. A Data Processing Agreement (DPA) is available on request for Legal Pro customers (in preparation; timeline shared on engagement).
  • Enterprise: Custom pricing. Contact david@lawmem.ai.

Monthly subscription fees are billed in advance via Stripe. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. Unused monthly quota does not carry over to the following month.

We reserve the right to change pricing upon 30 days' written notice to the email address associated with your account.

07 x402 Cryptocurrency Payments

Pay-as-you-go and overage Memory Calls are billed using the x402 protocol, which processes micropayments in USDC stablecoin on the Base blockchain network. By using pay-as-you-go or incurring overages, you acknowledge and agree that:

  • Payments are processed on-chain and are irreversible once confirmed
  • You are responsible for maintaining sufficient USDC balance in your wallet to cover anticipated usage
  • Blockchain network conditions (including gas fees and confirmation times) are outside our control
  • We are not a money services business, cryptocurrency exchange, or financial institution
  • x402 payments are subject to the terms and conditions of the Base network and Coinbase Developer Platform

We do not store your private keys or wallet credentials. Wallet addresses used for x402 payments are recorded in connection with your account solely for billing verification purposes.

08 Free Tier & Usage Limits

Free tier usage (1,000 lifetime calls) is provided as-is with no service level commitments. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

Rate limits apply to all tiers: POST /store is limited to 60 requests per minute per API Key; POST /recall is limited to 120 requests per minute per API Key. Requests exceeding these limits will receive an HTTP 429 response. Sustained abuse of rate limits may result in account suspension.

09 Acceptable Use

You agree not to use the Service to:

  • Store or process information in violation of any applicable law or regulation
  • Infringe the intellectual property rights of any third party
  • Store personal data of EU or UK residents without appropriate legal basis under GDPR or UK GDPR
  • Attempt to circumvent namespace isolation or access another customer's data
  • Conduct security testing, penetration testing, or vulnerability scanning without prior written authorization
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without our prior written consent
  • Use the Service in any manner that could damage, disable, or impair its infrastructure

We reserve the right to suspend or terminate accounts engaged in prohibited activities without prior notice.

10 Data, Privacy & Security

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely as necessary to provide the Service. We do not use Customer Data to train AI models or for any purpose other than operating the Service.

Customer Data is stored within isolated namespaces keyed to your API Key. No other customer can access your data. You may delete individual memories at any time via the DELETE /memory/{id} endpoint. Upon account termination, your data will be deleted within 30 days.

A Data Processing Agreement (DPA) is available on request for Legal Pro customers (in preparation; timeline shared on engagement) by contacting david@lawmem.ai. The DPA governs processing of personal data under GDPR and applicable data protection law.

Important: You are solely responsible for ensuring that any data you submit to the Service complies with applicable professional responsibility rules, privilege protections, and confidentiality obligations. We do not review Customer Data and make no representations about its legal classification.

11 Intellectual Property

The Service, including all software, infrastructure, documentation, and branding, is owned by Blue Swan Ventures, LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as described herein.

You retain all intellectual property rights in Customer Data. Nothing in these Terms transfers ownership of Customer Data to us.

12 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of any data retrieved from the Service.

lawmem.ai is a technical infrastructure service and does not provide legal advice. The Service is not a substitute for qualified legal counsel. We make no representation that use of the Service in legal workflows complies with applicable rules of professional conduct, privilege protections, or regulatory requirements in your jurisdiction.

13 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLUE SWAN VENTURES, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

14 Indemnification

You agree to indemnify, defend, and hold harmless Blue Swan Ventures, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) Customer Data you submit to the Service.

15 Term & Termination

These Terms are effective upon your registration and continue until terminated. You may terminate your account at any time by contacting david@lawmem.ai. Monthly subscriptions may be cancelled through the customer portal at portal.lawmem.ai; cancellation takes effect at the end of the current billing period with no refund for the remainder of that period.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees when due, or if we are required to do so by applicable law. Upon termination, your right to use the Service ceases immediately and your Customer Data will be deleted within 30 days.

Sections 10, 11, 12, 13, 14, and 16 survive termination.

16 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, and you hereby consent to such jurisdiction.

Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at david@lawmem.ai. We will attempt to resolve the dispute within 30 days of receiving notice.

17 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email to the address associated with your account or by posting a notice on lawmem.ai. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may terminate your account as described in Section 15.
